About formatting, for the last time!

My hard drive is FAT 32.
And I want to format it to NTFS.
When I insert the Windows XP Install CD I have the option to choose to change the Partition from FAT 32 to NTFS.
The hard drive is 40 GB and there is 15 GB free space.
My Question is:
If I choose to change from FAT 32 to NTFS from the Windows XP Install CD
just the free space 15 GB will be NTFS or the whole hard disc will be NTFS and everything will be eresed and just the Windows will be installed from the CD?
I fear if I choose this way that just the free space will be formatted to NTFS and I will loose the other space from the hard drive, or I am wrong?

Or I should format from FAT 32 to NTFS using Partition Magic?

Which way do you suggest me to do the formatting?
